In accordance with Part 1 of Article 1.5 of the Administrative Code of the Russian Federation, a person is subject to administrative liability only for those administrative offenses in respect of which his guilt has been established.

According to the evidence presented by Bashneft Joint-Stock Oil Company OJSC, upon receipt of the order, a tender procedure was organized to select a contractor to conduct an inventory of emissions of harmful substances into the atmosphere and their sources, development of draft standards for maximum permissible emissions (MPE). Based on the results of the tender procedures, the winner was the winner of LLC NVP Tekhnoresurs. A draft contract was developed and agreed with the counterparty, and, according to the procedure for signing contracts, measures were taken to check the counterparty (LLC NVP Technoresurs.) The draft MPE standards by the Office of Rosprirodnadzor for Belarus (the body that compiled the protocol on the administrative offense) at the time the court considered the materials of the administrative offense case was not considered. In this regard, the Company at the time of the court ruling was not able to apply for a permit for emissions of harmful substances, because according to the order of the Ministry of Natural Resources of the Russian Federation dated July 25, 2011 No. 650, the maximum permissible emission standards should be attached to this application in accordance with the draft MPE draft standards approved by the Rosprirodnadzor Office for the Republic of Belarus (which, in turn, was in the Rosprirodnadzor Office for the Republic of Belarus and was issued to the Company only on 02/10/2014).

Within the meaning of Article 30.6 of the Administrative Code of the Russian Federation, when a court considers a complaint against a decision in an administrative case, verification of the lawfulness and justification of bringing to administrative responsibility should be carried out in full by the courts of each instance.

From the aforementioned rule of law there follows a direct indication that the order of the administrative authority must meet the condition of legality. Consequently, an essential circumstance to be clarified during the consideration of a case on contesting a decision on an administrative offense is the establishment of the lawfulness of the order, the non-fulfillment of which was charged to society. Thus, the determination of the presence or absence of an administrative offense event depends on the establishment of this circumstance.

The enforceability of a precept is another important requirement for this type of non-normative legal act, since the precept comes from a state body with authority, is mandatory and a deadline is established for its execution, for violation of which administrative responsibility is incurred. The enforceability of the prescription should be understood as the existence of a real opportunity for the person held accountable to eliminate the violation found within the specified time.

By virtue of Part 2 of Article 2.1 of the Code of Administrative Offenses of the Russian Federation, a legal entity is found guilty of an administrative offense if it is established that it had the opportunity to comply with the rules and norms for the violation of which administrative liability is provided, but this person has not taken all measures depending on it according to them.

In the case under consideration, JSC Bashneft Joint-Stock Oil Company took all measures depending on it to comply with the order.

From a literal interpretation of the disposition of part 1 of article 19.5 of the Code of Administrative Offenses of the Russian Federation it follows that the objective side of the administrative offense provided for by it is the failure to comply with the established legal deadline of the body (official) exercising state supervision (control) to eliminate violations of the law .

Thus, the court considers that the appealed decision of the justice of the peace is subject to cancellation, and the proceedings in the case are terminated due to the lack of an administrative offense.

The team of former top managers of Bashneft, headed by its first vice president Mikhail Stavsky, who only joined the New Stream (owns the largest independent oil refinery in Russia) Dmitry Mazurov at the beginning of the year to develop a production business, left the company. This was told to RBC by three acquaintances of top managers and confirmed by the representative of the New Stream and Stavsky himself.

Stavsky was forced to leave Novy Stream because of the negative image effect of a court decision in the city of Ufa, which declared illegal the payment of additional annual remuneration to Bashneft employees, a company spokesman said. In mid-June, the Leninsky District Court of Ufa granted the lawsuit of the prosecutor's office of Bashkiria and Bashneft for remuneration of top managers of the company, because of this, about 300 employees of the oil company lost remuneration of about 2.7 billion rubles.

But Stavsky, who left Bashneft in October 2016, immediately after the company came under the control of Rosneft, and in January 2017 headed the oil company in the New Stream group, denied the official reason for his resignation. “This question (decision of the court of Ufa. - RBC) was not discussed at all, and this “image effect” had no effect on the team’s work, ”he told RBC. Factory in Tyumen

The main asset of the New Stream group is the Antipinsky Oil Refinery, the largest independent oil refinery located in the industrial zone of Tyumen (in 2016, it processed about 8 million tons of oil). Its main shareholder is businessman Dmitry Mazurov (80%), another 20% is from classmate of President Vladimir Putin and well-known lawyer Nikolai Egorov. Mazurov also has another influential partner - a friend of the mayor of Moscow, Vladimir Kalashnikov. He heads the board of directors of New Stream, responsible for relations with government agencies, and owns an option for 25% of the group, told Mazurov in the spring of 2016. The revenue of the companies included in the New Stream group, according to RAS, is expected to reach $ 5 billion in 2016, the company’s press service said in January 2017.

Bashneft’s managers had to develop the New Stream business in the field of production from scratch, which would allow the group to become vertically integrated - until recently, it owned assets only in refining (Antipinsky and Mari’s refineries). In 2015, New Stream won licenses for three fields in the Orenburg region: Mogutovsky, part of Vorontsovsky and part of Gremyachevsky, but production has not yet begun. The reserves of these three sites were estimated at more than 40 million tons (C1), they were supposed to be put into operation in 2018. Upon reaching its design capacity, production was to reach 4 million tons of oil per year, Interfax wrote.

“Everything that the team planned to do this year, everything is done. Geological uncertainties were removed, wells tested and the design of infrastructure facilities began, ”said Stavsky. He did not name the reasons for his resignation, noting that he had "gone to work on his family and health."

According to two acquaintances of Bashneft’s top managers, they left Novy Stream due to a shortage of money from shareholders for the implementation of a production project. Stavsky’s team estimated capital expenditures for the development of these three fields at 32.6 billion rubles. for 20 years, and operational at 41 billion rubles., says one of the interlocutors. Indeed, investments in the mining business should have amounted to more than 32 billion rubles, confirms another source. But the company “has a problem with investing,” he adds. The representative of the "New Stream" does not comment on this.

Such significant investments could be required due to the fact that all three fields are located on the territory of the Buzuluksky Bor national park, wells in the areas were drilled back in the 1950-1970s, but were mothballed due to oil spills, says another source. RBC, familiar with the former top managers of Bashneft. These are abandoned wells with cut-off fittings, from which oil is still oozing, he explained.

A representative of New Stream says that Alexander Belov has been appointed the new president of the company's mining division, who since 2015 served as its chief engineer, and before that he managed to earn some money at several large oil companies. He will continue to work on the project, in particular, focus on completing the re-conservation and re-liquidation of old Soviet emergency wells in the fields, said RBC interlocutor.

Statistics will not fool

The results of two months of this year confirm that Bashneft is successfully implementing its long-term strategy and moving forward, despite the economic crisis and another turn in shareholder history.

Last year was very difficult for the Russian oil industry. Western sanctions, the transition to a new tax model with a "tax maneuver." Finally, the collapse in oil prices at the end of 2014 turned out to be deeper and longer than predicted. But even in these difficult conditions, the domestic oil industry set a new record in 2015 - 534 million tons of oil and gas condensate.

Moreover, according to the Central Dispatch Center of the Fuel and Energy Complex, Bashneft showed the highest production growth rates among vertically integrated companies - plus 11.9% by 2014. The company came close to the milestone of 20 million tons of annual production. And Bashneft began its new year 2016 confidently - statistics show that the average daily production of the company in January-February increased by 11% compared to last year.

It is unlikely that a year or so ago, experts could unanimously predict a cloudless future for Bashneft - at that time the company was in the process of transferring to state control. Nevertheless, Bashneft surprisingly calmly went through this period of its history, becoming a case for a painless change of ownership, taking into account regional interests.

The calm, however, was short-lived. In search of ways to compensate for budget losses from falling oil prices, the Russian government is preparing to privatize state-owned stakes in a number of strategic enterprises. And Bashneft unexpectedly entered the list of first candidates, which, for obvious reasons, was not even in terms of privatization. But today, experts recognize the company as one of the most attractive and technically ready for privatization of assets. And the list of potential applicants for the state block of shares is growing.

Without changing the strategy

According to statistics, Bashneft in 2015 accounted for about 29% of the total increase in oil production in Russia. And this despite the fact that the company provides only 3.5% of all-Russian production.

According to the president of the company Alexander Korsik, several factors allowed to maintain leadership in terms of growth. The main contribution was made by new assets in Western Siberia and Timan-Pechora, in which considerable investments have been made in recent years. So, Burneftegaz at the Sorovskoye field in the Khanty-Mansiysk Autonomous Okrug increased production by 171% (up to 1.8 million tons) during the year, and Bashneft-Polyus, which develops the fields named after R. Trebs and A. Titov in the Nenets Autonomous Okrug - by 69.1% (up to 1.4 million tons). The share of these “greenfields” in the total volume of oil production by the company is steadily growing: according to the results of 2015, it increased almost twice: from 8.4% to 16.1%, and over two months of this year - already more than 20%.

However, two-three-digit growth figures for new assets should not be misleading. The low base effect works here. Meanwhile, the second most important growth factor was the company's increase in production by 2.8% (up to 16 million tons) at the old depleted oil fields in Bashkiria. Until recently, they did not expect anything like this from them. Recall that the first oil in Ishimbay appeared in 1932, and already since 1967 the level of “black gold” production in the republic has been steadily falling and since the late 1990s it has been at the mark of 11 million tons for almost ten years.

It was possible to turn the tide with the arrival of a new management team at Bashneft, the competence of which, multiplied by the experience of the Bashkir oil industry workers, allows for 6 years to continuously increase production in the republic. Since 2009, it has grown in total by almost 50% due to the use of highly effective geological and technical measures and the commissioning of new wells, primarily horizontal ones.

For several years, the leaders of Bashneft have been talking about stabilizing production in Bashkiria at an optimal level of about 15 million tons per year. Now stabilization has actually come, although at a higher level. Should I wait for a fall?

Bashneft geologists are confidently talking about the new potential of old fields. Three years ago, a large-scale exploration program was launched, aimed at discovering and involving new oil reserves in the development. As Yury Krasnevsky, Bashneft’s vice president of geology and development, noted, the density of mineral resources studied by three-dimensional seismic in Bashkortostan is seven times lower than in Tatarstan and 14 times lower than in the Orenburg region.

Modern technologies, including 3D seismic exploration, have borne fruit - every year the company confidently compensates for production with new reserves. So, according to the results of 2015, the replacement ratio of proved reserves exceeded 200%, i.e. the volume of new resources added to the company's “piggy bank” 2 times blocked the production level. And what is very important, the increase in reserves in Bashkiria more than compensated for the production last year. Currently, Bashneft’s availability of proven reserves of liquid hydrocarbons is more than 16 years.

In 2016, the development of the Trebs and Titov fields goes to the stage of industrial production, and it is planned to enter the 4.8 million tons production shelf in 2019. At the Sorovskoye field in the Khanty-Mansi Autonomous Area this event will happen this year. The peak production here is 2 million tons.

Processing Tactics


The Bashneft oil refining complex, as it might seem at first glance, last year somewhat lost ground: the volume of oil refining decreased by 11.7% (to 19.1 million tons). But this is when viewed in terms of quantity, not quality.

The company says that lowering the level of oil refining allowed in the unfavorable macroeconomic situation and new tax conditions to maximize the value of the basket of goods. Its structure has changed: the volume of production of high-margin light petroleum products has remained the same: more than 4.9 million tons of gasoline were produced, almost 7.5 million tons of diesel fuel. A decrease in oil refining led to a decrease in the production of cheap dark oil products: the output of vacuum gas oil decreased by 88.4% compared to 2014 (to 191 thousand tons), fuel oil - by 17.6% (up to 2.5 million tons). As a result, the yield of light oil products increased up to 68% (against 61.1% a year earlier).

The republic was always proud of refining, and when the Bashkir oil industry worker changed its owner in 2009, many said that now the Varangians will “squeeze out” the profit from the Ufa refineries without investing anything. However, the forecasts did not come true - the first stage of the modernization program, aimed at improving fuel quality, meeting the requirements of the Technical Regulations, was already successfully completed in 2014. Sulfuric acid alkylation and spent sulfuric acid regeneration units, catalytic cracking gasoline hydrotreatment, hydrogen and elemental sulfur production were commissioned.

As a result, in 2015, 95.7% of gasoline produced by Bashneft and 100% of diesel fuel met Euro-5 standards (against 90.7% and 36%, respectively, a year earlier). Thus, at the beginning of last year, the company was completely ready to comply with the requirements of the Technical Regulations prohibiting the production of motor fuel below the Euro-5 standard, although the standard will become mandatory only from July 2016.

The company has been moving toward this milestone for several years, successively upgrading its refineries and decommissioning economically inefficient primary processing facilities. Today, three Ufa refineries operate as a single technological complex with an optimal refining scheme and maximum economic efficiency.

According to some parameters, the Bashneft oil refining complex today claims to be a leader not only in the country, but also in the world. For example, the Nelson Index is an indicator of technological equipment of production - 9.1. For comparison: the average value of this indicator for European refineries is 7.42, Russian - 4.31. Therefore, it is no coincidence that the World Oil Refining Association (WRA) recognized the Bashneft refineries in 2015 as the best in Russia and the CIS.

Despite the crisis, modernization continues, and many of the ongoing projects are environmental, aimed at eliminating the accumulated damage of previous years: the construction of new biological treatment facilities and oil sludge processing plants. Investments in these projects are in the billions.

Launched in 2015 in accordance with the strategy, a new major project - the construction of the third delayed coking unit (UZK) - will allow Bashneft to completely stop the production of cheap dark oil products - fuel oil and vacuum gas oil by 2020, and bring the oil refining depth to 98% - level the best western plants.

Sales finds


Bashneft, the last of the Russian vertically integrated companies (VINK), has begun to form a full-fledged retail network. In recent years, many acquisitions have been made, especially in 2014, the year was “fruitful”. A major deal took place - the purchase of 92 gas stations under the well-known brand “OPTAN” in the Urals and the Volga region. Thanks to this acquisition, Bashneft strengthened its position in traditional markets and made a name for itself in 9 new regions. In addition, 17 gas stations were purchased in the Samara region and 5 in Magnitogorsk. Thus, during 2014, the retail network of Bashneft was increased by more than 110 stations. In the face of a sharp deterioration in the global oil market and an unfavorable macroeconomic situation in 2015, the company slowed down the implementation of its asset acquisition program. However, now that the country's economy has adapted to the new economic realities, Bashneft, according to its leaders, is again eyeing acquisitions in the retail market.

By 2020, Bashneft plans to double the number of its own gas stations - from the current 570 to 1,000. In this case, the company will be able to move to the top league of Russian fuel retail players. The expansion of the network of retail and small-scale wholesale sales of fuel to final consumers adds stability to the company in a difficult economic situation, reduces dependence on fluctuations in foreign trade conditions.

The priority areas for the development of the Bashneft gas station network remain the regions where the company can deliver petroleum products at minimal cost — the Chelyabinsk, Sverdlovsk, Samara, Orenburg and Perm regions, the republics of Udmurtia and Tatarstan, as well as the capital’s premium market.

The economic situation in the country and the decline in business activity could not but affect the volumes of fuel sold in retail. Many oil companies experienced a drop in sales last year. Bashneft’s response to the deteriorating business environment was an increase in incentive shares and the start of sales of the new ATUM-95 premium gasoline. And, finally, the long-awaited start of the loyalty program - after all, before that, Bashneft had never offered such products to its customers. Marketing activity plus an increase in the number of gas stations allowed the company to increase fuel sales by the end of 2015.

Recipe one

All last year, Bashneft worked as a state company. Today, the Russian Federation owns 50% plus one share, another 25% plus one share - to the Republic of Bashkortostan. Forecasts about how this will affect the company's activities were very different.

But, it seems, having become the main shareholder, the state acted wisely, and did not begin to make serious changes to the work of the company, which had gained an excellent move. The board of directors of Bashneft includes experts who adhere to the principles of a market economy and are aimed at the same task that any company should aim at: creating value for shareholders.

Today, Bashkir oil workers are ready to work in any conditions. Various scenarios have been developed for this, including for the most unfavorable external economic conditions. One thing remains immutable: according to any of the scenarios, Bashneft’s investments should be returned.

WHAT DOES BASHNEFT STRATEGY UNTIL 2020

Bashneft’s long-term development program and strategy for the period 2015-2020. was approved by the Board of Directors in September last year. According to Alexey Teksler, Chairman of the Board of Directors of the company, the strategy defines the following long-term goals: sustainable growth of production and financial indicators with reasonable levels of investment and debt, guaranteed dividend payments and further increase in shareholder value. ”

As one of the industry leaders in terms of return for shareholders, Bashneft intends to continue to pay high dividends in the amount of at least 2014 (20 billion rubles) and at least 25% of net profit under IFRS.

Bashneft’s strategic objectives until 2020 are also to maintain a leading position in operational efficiency by controlling operating expenses and adhering to a balanced approach to capital costs. In particular, the Company will continue to implement a program to optimize costs in the production segment by increasing the efficiency of production drilling and applying advanced oil recovery technologies, as well as improving operational readiness and energy efficiency in the refining sector, including through the introduction of innovations. The implementation of these initiatives will enable Bashneft to ensure sustainable EBITDA growth in the future, despite adverse macroeconomic conditions.

The company will strive to maintain financial stability and maintain a moderate debt burden, in which the Net Debt / EBITDA ratio does not exceed 2.

In the field of exploration and production, Bashneft’s strategy provides for the achievement of the following key goals by 2020:

The development of the resource base and the growth of oil reserves due to the implementation of the geological exploration program in the Republic of Bashkortostan, the revaluation and discovery of new reserves at the fields named after R. Trebs and A. Titov in the Nenets Autonomous Okrug (NAO) and Western Siberia, as well as the possible confirmation of the reserves of 7 new licensed sites in the NAO.

Continued steady growth in oil production by maintaining production at about 15 million tons per year (about 300 thousand barrels per day) at mature fields in the Republic of Bashkortostan; the early release of Burneftegaz in 2016 at a stable level of production in the amount of about 2 million tons (about 40 thousand barrels per day), as well as the achievement in 2019 of a peak in production at the fields named after R. Trebs and A. Titov in the amount of 4.8 million tons (about 100 thousand barrels per day).

In the field of processing and commerce, the strategy provides for the achievement of the following key goals by 2020:

Further improving the efficiency of the oil refining complex and achieving world-class technological equipment by updating the modernization program (in particular, building a new delayed coking unit and abandoning the construction of a hydrocracking unit), increasing the operational readiness of process units and increasing energy efficiency. By 2020, the refining depth of the Bashneft refinery will increase to 98%, the yield of light oil products to 75%, and the production of fuel oil will be completely discontinued.

Reliable and efficient provision of the oil refining complex with its own and marketed hydrocarbon raw materials through the conclusion of new long-term contracts.

Ensuring guaranteed sales of up to 80% of gasoline produced through premium channels by increasing the number of own gas stations to 1000 stations and increasing fuel sales through 1 gas stations (including through the completion of the rebranding program), as well as through small wholesale sales.

The development of the petrochemical direction and synergies from integration with refineries through the modernization of the petrochemical production and the increase in the production of high-margin polymer products.
